1. Agreement between you and Avenrail Labs
This End User License Agreement (the "Agreement") is a binding agreement between you — either an individual or the legal entity you represent ("You") — and Avenrail Labs, the developer and licensor of ChangeRail (the "Plugin").
JetBrains s.r.o. and its affiliates ("JetBrains") are not a party to this Agreement. JetBrains operates the JetBrains Marketplace through which the Plugin is distributed and through which licenses are sold, and acts solely as the reseller and payment processor for Avenrail Labs. JetBrains is not the licensor of the Plugin, makes no representations or warranties about the Plugin, and has no obligation to provide support, maintenance, or remedies for the Plugin. All claims relating to the Plugin itself must be directed to Avenrail Labs at support@avenrail.dev.
By installing, activating, or using the Plugin, You accept this Agreement. If You do not accept it, do not install or use the Plugin.
2. Definitions
- "Plugin" — the ChangeRail plugin binary, its resources, documentation, and any updates or new versions Avenrail Labs makes available under this Agreement.
- "Subscription" — a paid, time-limited license to use the Plugin, purchased through the JetBrains Marketplace.
- "Subscription Term" — the period for which a Subscription is paid and active.
- "Marketplace" — the JetBrains Marketplace (https://plugins.jetbrains.com).
3. License grant
Subject to Your compliance with this Agreement and to payment of the applicable fees, Avenrail Labs grants You a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Plugin during the Subscription Term:
- Personal (individual) license — for use by one named individual, on any number of computers that individual uses, for that individual's own work, including commercial work performed by that individual as a freelancer or sole proprietor.
- Commercial (organizational) license — purchased by an organization, assigned to a named individual user. The organization may reassign a license to a different individual when the original user leaves the role, but a single license may not be shared concurrently by multiple individuals.
Licenses are sold on a paid annual subscription basis through the Marketplace. Pricing, billing, currency, taxes, invoicing, refunds, license assignment, and license delivery are administered by JetBrains under the Marketplace terms, and are governed by JetBrains' terms of sale rather than by this Agreement.
4. Free trial
Avenrail Labs makes a time-limited free trial available through the Marketplace. The trial is licensed on the same terms as this Agreement, except that it is provided without any warranty and without any support commitment, and may be discontinued or changed at any time. When the trial expires, You must either purchase a Subscription or stop using the Plugin.
5. Expiry and end of a Subscription
When a Subscription Term ends and is not renewed, Your right to use the Plugin ends and You must stop using it and uninstall it.
The Plugin stores its data (task definitions, policies, detected changes) inside Your IDE's own configuration directory on Your machine. That data is Yours; it remains on Your machine and is unaffected by license expiry, and Avenrail Labs never gains access to it.
6. Restrictions
You may not:
- copy, publish, sell, rent, lease, sublicense, or otherwise distribute the Plugin, except as installed by Your IDE from the Marketplace;
- reverse engineer, decompile, or disassemble the Plugin, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- modify, translate, or create derivative works of the Plugin;
- remove, obscure, or alter any copyright, trademark, or license notice in the Plugin;
- circumvent, disable, or interfere with the Plugin's license verification, or use the Plugin without a valid Subscription or active trial;
- use another user's license key, or share Your license key.
7. What the Plugin does — and what it does not do
This section is a description of the product's design and its limits. Read it before relying on the Plugin.
The Plugin is a detection and visualization tool. You define a change policy (allowed paths, protected paths, sensitive-file rules, and an optional change budget), and the Plugin classifies changes it observes in Your project against that policy and reports them to You inside the IDE.
The Plugin:
- does not prevent any file from being changed, created, or deleted;
- does not revert, restore, undo, commit, stage, or otherwise modify Your files or Your version control history — it performs no write operations on Your repository;
- is not a security control, access control, sandbox, or containment mechanism, and is not designed to stop a hostile or adversarial process. It observes changes through the IDE's own file and version-control APIs, and any change it does not observe — for example changes made while the IDE is closed or not synchronized, changes outside the project, changes already committed, or changes hidden from the IDE's file system view — will not be reported;
- does not guarantee completeness or correctness of detection. Classification depends entirely on the policy You define. An incorrect, incomplete, or overly broad policy will produce incorrect results;
- is not a substitute for code review, version control, testing, backups, or any other engineering control.
You remain solely responsible for reviewing, testing, and approving all changes to Your code, whether or not the Plugin reported them.
8. Privacy and data
The Plugin operates entirely locally. It contains no telemetry, no analytics, no crash reporting, no accounts, no AI or LLM API calls, and no network communication of any kind. It does not transmit Your source code, file contents, file names, project metadata, license information, or usage data to Avenrail Labs or to any third party.
Reports generated by the Plugin contain policy definitions, file paths, and verdicts. They never contain file contents. Reports are produced only when You request them and are placed only where You put them.
Avenrail Labs therefore collects no personal data through the Plugin. If You contact support@avenrail.dev, we process only the information You choose to send us, and only to answer You. See https://avenrail.dev/privacy/ for the full statement.
Note that JetBrains, as the Marketplace operator and reseller, separately processes purchase and license data under its own terms and privacy policy. Avenrail Labs does not control that processing.
9. Ownership
The Plugin is licensed, not sold. Avenrail Labs retains all right, title, and interest in and to the Plugin, including all intellectual property rights. No rights are granted except those expressly stated in this Agreement.
The Plugin is built on the IntelliJ Platform and runs inside JetBrains IDEs. All rights in the IntelliJ Platform and in JetBrains products and trademarks belong to JetBrains. Any third-party components included with the Plugin remain subject to their own licenses.
10. Updates and support
Avenrail Labs may release updates to the Plugin. Updates are delivered through the Marketplace and are covered by this Agreement unless they are accompanied by different terms.
During an active paid Subscription, Avenrail Labs provides support by email at support@avenrail.dev on a commercially reasonable-effort basis, in English or Japanese. No specific response time, resolution, or availability is guaranteed. Avenrail Labs is not obliged to maintain compatibility with unreleased, preview, or end-of-life IDE versions.
11. Term and termination
This Agreement takes effect when You first install or use the Plugin and continues until terminated.
Avenrail Labs may terminate this Agreement immediately if You materially breach it, in particular Section 6. You may terminate at any time by uninstalling the Plugin. Termination does not by itself entitle You to a refund; refunds are handled by JetBrains under the Marketplace terms.
Sections 6, 7, 9, 12, 13, 14, and 15 survive termination.
12. Disclaimer of warranties
THE PLUGIN IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, Avenrail Labs disclaims all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Avenrail Labs does not warrant that the Plugin will be uninterrupted or error-free, that it will detect any particular change or policy violation, that it will be compatible with any particular IDE version, project layout, or version control configuration, or that defects will be corrected.
Nothing in this Agreement excludes or limits any warranty or right that cannot be excluded or limited under the law applicable to You, including mandatory consumer rights.
13. Limitation of liability
To the maximum extent permitted by applicable law, Avenrail Labs shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, source code, business, or goodwill, arising out of or relating to the Plugin or this Agreement, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
This expressly includes any loss arising from a change the Plugin did not detect, did not report, reported late, or classified incorrectly.
Avenrail Labs' total aggregate liability arising out of or relating to the Plugin or this Agreement shall not exceed the amount You actually paid for the Plugin during the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations do not apply to liability for willful misconduct or gross negligence, or to any liability that cannot be limited under applicable mandatory law.
14. Compliance and export
You are responsible for using the Plugin in compliance with all applicable laws, including export control and sanctions laws, and with the policies of Your employer or client.
15. Governing law and disputes
This Agreement is governed by the laws of Japan, without regard to its conflict-of-laws rules. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to this Agreement.
If You are a consumer, this does not deprive You of the protection of mandatory provisions of the law of Your country of residence.
16. Changes to this Agreement
Avenrail Labs may update this Agreement for future versions of the Plugin. The version of the Agreement published with the version of the Plugin You installed governs Your use of that version. Continuing to use a later version of the Plugin after an updated Agreement is published constitutes acceptance of the updated Agreement.
17. General
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force. Avenrail Labs' failure to enforce a provision is not a waiver of it. This Agreement, together with https://avenrail.dev/privacy/, is the entire agreement between You and Avenrail Labs regarding the Plugin, and supersedes any prior understanding regarding its subject matter.
